Terms of Use for Turbovault

1. Scope of Application

These Terms of Use apply between you as the user (hereinafter referred to as "User" or "you") or the company you represent and Scalefree International GmbH (hereinafter referred to as "Scalefree" or "we") for the use of Turbovault (hereinafter referred to as "WebApp"). By registering a user account, you agree to these Terms of Use. The German version of these Terms of Use is legally binding.

2. Subject Matter of the Contract

The WebApp is provided by Scalefree. The WebApp allows the User to run various best practice scenarios against their given Metadata. The output models do not constitute consulting services.

3. Conditions of Use

The use of the WebApp requires a digital end device with an internet connection and a supported internet browser (latest versions of Chrome, Edge, Safari, or Firefox). The use of the WebApp also requires the User's consent to these Terms of Use, the creation of a user account, and the connection of the WebApp to the User's CRM system.

4. Registration and User Account

Registration is done by providing an email address and a password. By registering, the User confirms that they are of legal age and have unlimited legal capacity. If the User registers with a company email address, they confirm that they are an employee of that company and are authorized to use the WebApp on behalf of the company. Scalefree may reject a registration without giving reasons. A User who has been excluded from using the WebApp may not register again.

5. Grant of Rights

The User grants Scalefree the non-exclusive, temporally and spatially unlimited right to use the generated evaluation reports and the data contained therein for all legitimate business purposes. This includes, in particular, the operation, analysis, consulting, further development, and marketing of our services, as well as for error analysis and correction. The User warrants that all content provided by them does not infringe any third-party rights and that they have obtained all necessary authorizations.

6. Availability and Changes to the Service

The WebApp is provided "as is". Scalefree does not guarantee any specific availability. We reserve the right to change the content and scope of the services through updates, for example, for technical reasons, for security purposes, for functional enhancements, or for optimization, provided that the changes are reasonable for the User. There is no obligation to provide support or to ensure compatibility with third-party products. We will provide updates that are necessary for the security and intended use of the WebApp, but not updates that merely improve or extend the functions.

7. Liability

Scalefree is liable without limitation for damages resulting from injury to life, body, or health, which are based on a breach of duty by Scalefree. Furthermore, Scalefree is liable without limitation for damages caused by Scalefree through intent or gross negligence. In the case of a slightly negligent breach of essential contractual obligations, the liability of Scalefree is limited to the typically foreseeable damage. In all other respects, any liability of Scalefree is excluded.

8. Final Provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from or in connection with this contract is Hanover, Germany, provided the User is a merchant.
